1. Identification of the owner and scope of application
These Terms and Conditions of Use (hereinafter "Terms") govern access to and use of the website www.spapperi.com (hereinafter "Site") and all digital services connected to it, including the Customer Reserved Area, contact forms, the newsletter service and the videocall booking system.

(hereinafter "Spapperi", "the Company" or "we")
Access to and use of the Site implies full and unreserved acceptance of these Terms. Anyone who does not accept the Terms is invited not to use the Site. Certain sections of the Site (in particular the Customer Reserved Area) are subject to specific conditions of use described in the relevant articles.
2. Nature of the Site and services offered
2.1 Institutional and informational Site
The Site is institutional and informational in nature. Spapperi NT S.r.l. is an Italian company specialised in the design and manufacture of agricultural machinery for transplanting, soil cultivation and harvesting. Founded in 1964, it operates internationally with a network of dealers, agents and importers.
Through the Site, Spapperi:
- presents its catalogue of machines, series, configurations, accessories and optional equipment;
- illustrates its technical and agronomic services;
- provides technical information on products for informational purposes;
- collects contact requests, job applications, commercial partnership requests (dealer/agent), videocall bookings with its specialists and technical assistance requests on Spapperi machines;
- allows subscription to an informational newsletter;
- offers qualified customers access to a Reserved Area containing confidential technical documentation.
The Site does not carry out direct online sales of machines, spare parts or accessories. Any information relating to prices, availability or configurations is purely indicative and does not constitute a binding contractual offer.
2.2 Predominantly professional nature of the content
The Site's content, described services and interactive features are primarily intended for a professional audience: agricultural operators, agronomists, dealers, importers, agents, sector technicians. Spapperi acknowledges, however, that individual farmers and private individuals may also access the Site for informational purposes, although this is a minority compared to the professional user base. The protections provided by Legislative Decree 206/2005 (Consumer Code) apply only to users who fall within the definition of consumer under that legislation; the Site does not carry out direct sales nor conclude distance contracts with consumers.
3. Intellectual property and limited licence of use
3.1 Ownership
All content on the Site – by way of example and not limitation: texts, technical data sheets, technical drawings, three-dimensional models, images, photographs, videos, logos, trademarks, graphics, layout, source code, database structure, information architecture – is the exclusive property of Spapperi NT S.r.l. or is used by it under licence agreements, and is protected by Italian and European copyright law (L. 633/1941 and D.Lgs. 30/2005 – Industrial Property Code) and by any other applicable intellectual and industrial property legislation.
The SPAPPERI trademark, in its name and graphic representations, is the property of Spapperi NT S.r.l. and may not be used without prior written authorisation.
3.2 Authorisation to browse
Access to the Site permits the user to browse the content for purposes connected with the services offered: obtaining technical and commercial information about Spapperi products, submitting contact requests, applications or bookings, accessing the Reserved Area if enabled. This authorisation is limited, non-exclusive, non-transferable and revocable at any time by Spapperi. Uses that go beyond these purposes or that violate the provisions of art. 3.3 are not permitted.
3.3 Prohibited uses
The following are expressly prohibited without prior written authorisation from Spapperi:
a) reproducing, duplicating, copying, selling, reselling, renting or commercially exploiting, in any form, the content of the Site;
b) bulk downloading, by means of spiders, scrapers, bots or similar automated tools, the product catalogue, technical data sheets, images or any other content of the Site;
c) decompiling, reverse engineering or attempting in any way to extract the source code of the Site;
d) using the content of the Site to train artificial intelligence systems, language models or any machine learning technology, without explicit written consent of the Company;
e) removing or altering any indication relating to copyright, trademarks or other intellectual property rights present on the content of the Site;
f) using the Site or its content in a manner that violates laws, regulations or the rights of third parties.
4. Technical information and product disclaimer
4.1 Informational nature of technical specifications
The technical data sheets, specifications, measurements, performance data, configurations and any other information relating to Spapperi products published on the Site are purely informational and indicative in nature. Spapperi reserves the right to modify, at any time and without notice, the technical characteristics, models, configurations and prices of its products.
The information published on the Site may not reflect in real time any product updates, market changes or technical-regulatory modifications. The Company assumes no responsibility for purchase or investment decisions based solely on the technical data published on the Site.
4.2 Three-dimensional models
The Site may present three-dimensional models of machines generated using artificial intelligence technologies (Tripo3D service). Such models are exclusively for illustrative and informational purposes. They do not constitute official technical documentation, nor may they be used for design, engineering, manufacturing or certification purposes. The dimensions, proportions and visual details represented in the 3D models may differ from the actual characteristics of the product.
4.3 Agronomic panel
The agronomic information (types of transplanting, spacing, plant density, planting depth, etc.) published on the Site or the web configurator is exclusively for informational purposes, intended to describe or indicate the performance of the products, and is provided as general guidance only. Spapperi is not an agronomic consultant. Specific agronomic decisions must be made based on local soil, climate and crop conditions, under the responsibility of the operator or a qualified agronomist.
4.4 AI virtual assistant
The Site may make available an artificial-intelligence virtual assistant, named "Gaia", for purely informational purposes and to support navigation.
The assistant's responses are generated automatically and may contain errors, inaccuracies or outdated information. They do not constitute professional advice, a contractual offer, a quotation or any binding commitment by the Company. Only the official information provided by the Company and any contractual documents signed by the parties shall prevail.
Users are asked not to enter personal or confidential data in the chat. The processing of any data provided through the assistant is described in the Privacy Notice.
5. Contact forms and data collection
The contact forms on the Site allow anyone to submit requests for information, quotations, technical and commercial support, job applications, and to receive the newsletter. They are not, however, suitable tools for confirming purchase orders or obtaining job interviews; such activities require direct contact with Spapperi.
5.1 General contact form
The contact form on the Site allows anyone to submit requests for information, quotations or technical support. The user first selects their type ("Company" or "Private"). Mandatory fields are: first name, last name, e-mail address, phone, country of origin, message. If "Company" is selected, company name is also required; sector and activity type are optional. If "Private" is selected, those fields are not collected.
Completing the form requires mandatory acceptance of the Privacy Policy (GDPR checkbox). There is an additional optional checkbox for consent to marketing communications.
5.2 Dealer form
The form for commercial partnership requests (dealer/agent) collects the same information as the general contact form. Requests are handled by Spapperi's commercial team.
5.3 Videocall booking
The Site offers the possibility to book a videocall with a Spapperi consultant. The user first selects their type ("Company" or "Private"). Required data: first name, last name, e-mail, phone, country, service of interest, preferred date and time, message. If "Company" is selected, company name is also collected (optional). The booking does not constitute confirmation of the appointment; Spapperi will contact the user to confirm availability and details.
5.4 Technical assistance form
The Site offers a dedicated form for technical assistance requests regarding Spapperi machines. The user first selects their type ("Company" or "Private"). Mandatory fields are: first name, last name, e-mail address, message. If "Company" is selected, company name is also collected (optional). Additional optional fields: phone, country, machine serial number. Up to 5 photographs may be attached (formats HEIC/JPG/PNG/WebP/BMP, max 15 MB per file) to support the report.
Completion of the form requires mandatory acceptance of the Privacy Policy (GDPR checkbox). An additional optional checkbox is available for consent to marketing communications. Data are retained for 24 months from collection.
5.5 Job applications
The Site allows the submission of spontaneous applications or applications in response to specific job openings through the "Work with us" form. Uploading a curriculum vitae in PDF, DOC or DOCX format (maximum 10 MB) is required, with the possibility of attaching additional documents. Uploaded files are subjected to thorough technical validation (verification of MIME type, extension and binary file signature).
Application data will be retained for a period not exceeding 12 months from the date of receipt, unless the selection process has concluded or the applicant has withdrawn consent before that date. The applicant may request deletion of their data at any time by writing to info@spapperi.com.
5.6 Newsletter
The newsletter service is intended for professionals in the agricultural sector interested in receiving updates on Spapperi products, events, technological developments and informational materials. Subscription requires a valid e-mail address and explicit consent to the sending of commercial communications. It is possible to unsubscribe at any time via the cancellation link present in every e-mail or by writing to info@spapperi.com.
The e-mail address provided is used exclusively for sending the Spapperi newsletter and is not passed on to third parties for commercial purposes. The unsubscription token is generated cryptographically at random and cancellation is definitive (the record is removed from the database).
5.7 User obligations when completing forms
By completing any form on the Site, the user declares and warrants:
a) to provide truthful, accurate, complete and up-to-date data;
b) to have the right and legal capacity to provide the data entered;
c) not to submit unlawful, offensive, defamatory, fraudulent or otherwise harmful content that infringes the rights of third parties;
d) not to use the forms for purposes other than those indicated (e.g. spam, phishing, denial of service).
Spapperi reserves the right not to act on requests that appear fraudulent, incomplete or intended for unlawful purposes, as well as to report any abusive behaviour to the competent authorities.
6. Customer Reserved Area
6.1 Nature and purpose
The Customer Reserved Area (accessible from the `/area-riservata` section of the Site) is an authentication-protected section, reserved exclusively for Spapperi's qualified customers, namely: dealers, agents, importers and employees of the Spapperi commercial network, to whom the Company has issued personal access credentials.
The Reserved Area allows enabled customers to:
- consult and download confidential documentation (price lists, certifications, commercial material) assigned to their profile;
- access updated information on products available for their geographic area or commercial category.
6.2 Issuing and management of credentials
Access credentials (e-mail address and password) are assigned by Spapperi at the commencement of the commercial relationship or upon specific request. Each set of credentials is:
- strictly personal and associated with a single operator or customer company (identified by a unique customer code);
- not transferable to third parties under any circumstances, not even within the same customer organisation, without prior written authorisation from Spapperi;
- subject to a password that the user is required to keep secret and to change promptly in the event of suspected compromise.
Spapperi will never ask for the user's password by telephone, e-mail or chat.
6.3 Authentication security
The authentication system implements the following security measures:
- Password hashing: passwords are stored in encrypted form using the bcrypt algorithm; Spapperi does not retain nor have access to passwords in plain text;
- Secure sessions: the session token is conveyed exclusively via `httpOnly`, `Secure`, `SameSite=Lax` cookie, not accessible to client-side scripts;
- Session duration: the session is valid for 24 hours; upon expiry a new login is required;
- Brute-force protection: the system automatically blocks repeated login attempts (locked after 10 failed attempts, with automatic unlock after 15 minutes) and applies rate limiting by IP address (maximum 5 attempts per IP in 15 minutes);
- Password reset: the password reset function generates a one-time link expiring in 1 hour, sent to the registered e-mail address.
6.4 Responsibilities of the Reserved Area user
The user enabled for the Reserved Area is responsible for:
a) safeguarding the credentials and for all activities carried out with their credentials, regardless of the actual identity of whoever performed the access;
b) immediately notifying Spapperi (info@spapperi.com) of any unauthorised access or suspected compromise of the credentials;
c) using downloaded files exclusively for purposes related to the commercial relationship with Spapperi and in compliance with any confidentiality conditions indicated on the documents themselves.
6.5 Content of confidential files and confidentiality
Files available in the Reserved Area may include technical, commercial or contractual documentation of a confidential nature. Access to such files implies acceptance of a confidentiality obligation: the user undertakes not to disclose, reproduce, distribute or share with unauthorised third parties any document downloaded from the Reserved Area, without prior written authorisation from Spapperi.
Every access to files is recorded in system logs for security and traceability purposes.
6.6 Suspension and revocation of access
Spapperi reserves the right to suspend or revoke access to the Reserved Area at any time, without notice and without obligation to provide reasons, in the event of:
a) violation of these Terms or of the confidentiality conditions;
b) termination or suspension of the commercial relationship;
c) suspected unauthorised use of the credentials;
d) failure to communicate changes to personal or contact details.
7. Site availability and limitations of liability
7.1 Service availability
Spapperi undertakes to ensure the availability of the Site to the extent reasonably possible. However, the Site is provided "as is" and "as available". Spapperi does not guarantee that the Site will always be accessible, uninterrupted, error-free or free from viruses or other harmful components.
The Site may be temporarily unavailable due to:
- scheduled or extraordinary maintenance;
- technical failures of the infrastructure (servers, network, cloud services);
- force majeure events (Internet outages, natural disasters, malicious third-party actions, etc.);
- software updates or data migrations.
Spapperi undertakes to minimise downtime and to communicate, where possible and reasonable, scheduled maintenance with adequate notice.
7.2 Limitation of liability
To the extent permitted by applicable law, Spapperi is not liable for:
a) direct or indirect damages arising from the use or inability to use the Site, including data loss, business interruption, loss of profits or reputational damage;
b) errors or omissions in the technical information published on the Site (product characteristics, technical specifications, agronomic data), which are purely indicative;
c) content of third-party sites accessible via links on the Site. Spapperi does not control such sites and assumes no responsibility for their content, privacy practices or conditions of use;
d) interruptions to the e-mail service or failure to receive automatic communications (form confirmations, newsletter welcome e-mails, etc.) due to technical problems with the mail server, spam filters or third-party providers;
e) unauthorised access to the Reserved Area resulting from the user's negligent safeguarding of credentials;
f) damages arising from improper use of the technical and agronomic information provided by the Site.
7.3 Indemnification
The user undertakes to hold harmless and indemnify Spapperi, its directors, employees, collaborators and suppliers from any claim, damage, loss, liability or expense (including reasonable legal fees) arising from: (i) use of the Site in violation of these Terms; (ii) violation of applicable laws; (iii) violation of third-party rights; (iv) inaccurate or false data provided through the Site's forms.
8. Links to third-party sites
The Site may contain links to third-party websites (e.g. social media profiles, service providers, commercial partners). Such links are provided as a courtesy and for reference purposes. Spapperi does not control, monitor or assume responsibility for the content, privacy policies, security practices or availability of third-party sites. Access to third-party sites is at the user's discretion and under their own responsibility; users are invited to consult the terms and conditions and privacy policies of the respective sites.
9. Processing of personal data
The processing of personal data of users who access the Site, complete contact forms, subscribe to the newsletter, submit applications, book videocalls or access the Reserved Area is governed by the Privacy Policy separately published on the Site, drafted pursuant to art. 13 of EU Regulation 2016/679 (GDPR) and of D.Lgs. 196/2003 as amended by D.Lgs. 101/2018.
With regard to cookies and tracking technologies, reference is made to the Cookie Policy separately published on the Site.

10. User conduct and prohibited uses
When using the Site, the following are prohibited:
a) transmitting viruses, malware, malicious code or any other element capable of damaging the Site, servers or systems of Spapperi or third parties;
b) attempting unauthorised access to the Site, to Spapperi's computer systems or to other users' data (including attempts to circumvent the Reserved Area's authentication mechanisms);
c) carrying out scraping, data mining or automated data collection from the Site;
d) intentionally overloading the Site's infrastructure (DoS/DDoS attacks or similar);
e) disseminating or publishing unlawful, defamatory, obscene, racist, discriminatory or reputationally damaging content about Spapperi or third parties through contact forms or other interactive tools on the Site;
f) attempting to obtain access credentials of other Reserved Area users or impersonating other parties;
g) using the Site for competitive or competitive intelligence purposes in violation of applicable law.
Violation of the provisions of this article may result in reporting to the competent authorities and legal action for compensation.
11. Amendments to the Terms and Conditions
Spapperi reserves the right to amend these Terms at any time, at its sole discretion, to reflect regulatory, technological, operational or service-related changes.
Amendments will take effect from the date of publication of the updated version on the Site, indicated in the document header ("Last updated"). Registered users of the Reserved Area will be sent notification of material changes to their registered e-mail address, with at least 15 days' notice.
Continued use of the Site after the effective date of the amendments constitutes acceptance of the updated Terms. If the user does not wish to accept the amendments, they must cease use of the Site and, if applicable, request closure of their Reserved Area account.
12. Suspension or termination of service
Spapperi reserves the right to:
a) temporarily suspend the Site or part of it for maintenance, updates or technical reasons, preferably with prior notice to registered users of the Reserved Area;
b) permanently discontinue the Site or individual features, with reasonable notice (at least 30 days) communicated to registered users of the Reserved Area by e-mail;
c) deactivate a Reserved Area user's account in the event of violation of these Terms or termination of the commercial relationship.
In the event of permanent termination of the service, Spapperi will take reasonable measures to allow users to export or access their data before closure, to the extent technically feasible and required by data protection legislation.
13. Applicable law and competent court
13.1 Applicable law
These Terms are governed by Italian law, with particular reference to the Civil Code, D.Lgs. 70/2003 (implementation of the e-commerce Directive), D.Lgs. 196/2003 (Privacy Code), EU Regulation 2016/679 (GDPR), D.Lgs. 30/2005 (Industrial Property Code) and L. 633/1941 (Copyright Act).
13.2 Competent court
For any dispute relating to the interpretation, validity or performance of these Terms, the parties undertake to first attempt an amicable resolution. If the conciliation attempt does not succeed within 30 days of written notification of the dispute, the Court of Perugia shall have exclusive jurisdiction.
Exceptions apply where the applicable law establishes the mandatory jurisdiction of a different court (e.g. the consumer's court of domicile pursuant to the Consumer Code, where applicable).
14. Severability clause
If one or more provisions of these Terms are declared null, voidable or ineffective by a competent judicial or administrative authority, the remaining provisions shall remain fully valid and effective. The null or ineffective clause shall be replaced, to the extent possible, by a provision that comes as close as possible to the original intention of the parties.
Spapperi's failure to exercise a right provided for in these Terms does not constitute a waiver of that right, nor does it prevent its exercise in the future.

Legal or formal communications (e.g. complaints, disputes, requests to exercise GDPR rights) must be sent by PEC or registered letter with acknowledgement of receipt to ensure traceability.
